To use the Platform, you must be at least 13 years of age. If you are under 18, you must have the consent of a parent or legal guardian to access or use the Platform. By creating an account, you represent and warrant that:

• You meet the minimum age requirement;
• You are not barred from using the Platform under applicable law;
• All information you submit is accurate, current, and complete.
• You agree to update your information as necessary to maintain its accuracy
• You may terminate your account from our Platform at any time and by doing so, you terminate your acceptance of these Terms.

When creating a Runway Avenue account, you must:

• Choose a secure password and keep it confidential;
• Not share your login credentials with anyone else;
• Promptly report any unauthorized activity or suspected breach.

You acknowledge that you are solely responsible for any activity that occurs under your account, regardless of whether such activity was authorized by you. Runway Avenue is not liable for any losses or damages resulting from unauthorized use of your account. We reserve the right to refuse user access to any service, or terminate any account of any user, on our Platform in violation of these responsibilities.

3. User Conduct

You agree to use the Platform only for lawful and intended purposes. By accessing and using our Platform, you agree that you must not:

• Violate any applicable laws or regulations;
• Use the Platform for the use of any suspicious fraudulent or abusive activity.
• Use the Platform in any manner that could disable, overburden, or impair functionality;
• Transmit any viruses, malware, or harmful code;
• Engage in data mining, scraping, or harvesting;
• Access any part of the Platform you are not authorized to access.

Runway Avenue reserves the right to monitor usage patterns and investigate any suspicious or abusive activity of any user account(s) on our Platform. Violations of the acceptable use of the Platform may result in limited access to services, termination of user account(s), and right to refuse access to our Platform's services. Legal consequences may also apply in violation of the acceptable use of the Platform.

4. Affiliate Links, Third-Party Services, and Payment Processing

The Platform publishes product listings through affiliate integrations with third-party retailers. You acknowledge and agree that:

• Runway Avenue earns commissions on qualifying purchases, including those made by your user account;
• We are not the seller or fulfillment party for any products you choose to purchase;
• We make no representations regarding inventory, shipping, delivery, or return policies of our affiliate partners.
• You are solely responsible for reviewing third-party policies before making a purchase of any product on our Platform.
• All product transactions are conducted at your own risk.

5. Intellectual Property Rights

All intellectual property on our Platform, including but not limited to text, images, logos, designs, interface elements, code, and trademarks, are the property of Runway Avenue or its content providers and protected by intellectual property laws.

In using our Platform, you agree that you may not:

• Reproduce, copy, or distribute Platform content without written authorization;
• Use our branding in connection with any third-party product or service;
• Attempt to reverse-engineer, decompile, or disassemble Platform software.

Violation of these restrictions may result in legal action.

5. Warranties and Liability Limitations

Liability Limitations

Individuals associated with Runway Avenue are expected to be solely responsible for establishing and maintaining a valid user account with Runway Avenue. To the maximum extent permitted by law:

• Runway Avenue assumes no responsibility for password breaches, fraud, losses, or any other liabilities arising from the individual's user account, usage of the Platform, or any association with our Platform.
• The company is not liable for password breaches, fraud, losses, or any other liabilities arising from the individual's user account, usage of the Platform, or any association with our Platform.
• Individuals waive any claims against the company related to any liability arising from the user's account, usage of the Platform, or any association with our Platform.

Warranties

To the maximum extent permitted by applicable law, the Platform, your user account, and all services, features, content, and materials made available through the Platform are provided "as is" and "as available," with all faults and without any warranty of any kind.

Without limiting the foregoing, we and our affiliates, licensors, and service providers disclaim all express, implied and statutory warranties, including any warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, security, accuracy, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that:

• The Platform or services will be uninterrupted, timely, secure, or error-free;
• Any data, content, or information (including account information) will be accurate, complete, reliable, or current;
• Defects will be corrected; or
• The Platform or services will be compatible with any particular device, operating system, network, or third-party service.

6. User-Generated Content and DMCA

You may contribute content to the Platform such as reviews, stylistic inputs, or community commentary ("User Content"). By doing so, you:

• Grant Runway Avenue a non-exclusive, worldwide, royalty-free, transferable, and irrevocable license to use, reproduce, and publicly display your content;
• Warrant that your content does not infringe any third-party intellectual property or violate any laws;
• Agree not to post content that is discriminatory, harassing, illegal, or false.

If you believe your copyrighted work has been used or posted on the Platform in a way that constitutes copyright infringement, please notify us at support@runwayave.com with the following information:

• A valid physical or electronic signature of the copyright owner or their agent;
• Documentation displaying the identification of the copyrighted work and the allegedly infringing material;
• Your contact information, including phone number(s) and email(s);
• A statement that you believe the use of your copyrighted work is not authorized;
• A statement made under penalty of perjury that your claim is accurate.

We reserve the right to remove or moderate content at our sole discretion.

7. Electronic Communication, Documentation

When you utilize our Platform or send e-mails to us, you are agreeing to:

• Communicate with us electronically.
• Accept that documents referenced in communicated e-mails with us will be considered a "writing" or "in writing" to comply with applicable legal requirements, and are legally enforceable between the parties.
• Printed versions of this Agreement and the documents referenced in communicated e-mails will be admissible in any legal proceeding.

8. Dispute Resolution

Informal Resolution

Before initiating any formal proceeding, you agree to contact us at support@runwayave.com and attempt in good faith to resolve any dispute arising out of or relating to your user account, use of the Platform, or these Terms.

Arbitration; Waiver of Jury Trial

If a dispute is not resolved informally, any claim or controversy shall be finally and exclusively resolved by binding arbitration under its applicable rules. You and we waive any right to a jury trial.

Class Action Waiver

Disputes must be brought on an individual basis only, and not as a class, collective, consolidated, or representative action.

Governing Law; Venue

This clause and any dispute shall be governed by applicable law in the jurisdiction, without regard to conflict-of-laws principles. The arbitration shall take place in the applicable jurisdiction, unless the parties agree otherwise.

Exceptions

Either party may seek injunctive or equitable relief in a court of competent jurisdiction for claims related to intellectual property, misuse of the Platform, or unauthorized access, without waiving arbitration for other claims.
